This study examines the legal consequences of the agent’s indemnity claim under Article 122 of the Turkish Commercial Code (TCC) in the context of bankruptcy. Given that the legislator has not provided an explicit bankruptcy-specific regime, uncertainties arise regarding the concretisation of the benefit requirement, the status of the indemnity claim within the bankruptcy estate, and the operation of the one-year time limit within bankruptcy proceedings. The study examines the differences between the principal’s bankruptcy and the agent’s bankruptcy. In the principal’s bankruptcy, the “benefit” requirement necessary for the agent’s indemnity claim to arise depends on the mode of liquidation. While the customer base value is preserved in cases of ongoing business operation or transfer of the enterprise as a whole, in piecemeal liquidation this requirement is usually weakened; however, it may still materialise to the extent that the estate actually uses the customer base during liquidation. Since the indemnity claim is grounded in the legal relationship established prior to bankruptcy, it is, as a rule, classified as a bankruptcy claim and is subject to registration with the estate and the distribution schedule regime. In the agent’s bankruptcy, the indemnity claim is transferred to the bankruptcy estate and its enforcement is pursued by the bankruptcy administrator. Although bankruptcy alone does not constitute fault or, by itself, a basis for depriving the agent of the indemnity claim, the nature of the conduct leading to bankruptcy is material to the assessment of just-cause termination and equitable reduction. The one-year statutory deadline commences from the date of contract termination, and the opening of bankruptcy does not in itself suspend, interrupt, or restart this period. In the principal’s bankruptcy, the claim is, as a rule, asserted through registration with the estate within this period; in the agent’s bankruptcy, the bankruptcy administrator must assert it against the principal by notice or, where necessary, by bringing an action within the same period.
