| dc.description.abstract | Vakıflarda amaç unsuru önem arz eder. Zira amaç, yerleşik Yargıtay uygulamasında da ifade edildiği üzere, vakfın tanımında yer alan ve vakfın faaliyet alanını ve sınırlarını belirleyen en temel unsurdur. Amaç unsurunun önemi, vakfın kurulmasından sonra amaçta yapılacak değişikliklerin de belirli ve sıkı bir prosedüre tabi olması sonucunu doğurmaktadır. Her ne kadar bu prensip hem eski hem yeni vakıflar için söz konusu olsa da mevzuatta öngörülen amaç değişikliği prosedürü iki vakıf türü için farklılık arz etmektedir. Yeni vakıflar açısından amaç değişikliği TMK md. 113 hükmüne uygun olarak gerçekleştirilebilirken eski vakıflar açısından Vakıflar Kanunu md. 14 uygulanır. Buna göre eski vakıflarda amaç değişikliği Vakıflar Meclisi kararı ile yapılırken yeni vakıflar açısından vakıf yönetiminin veya Vakıflar Genel Müdürlüğü’nün tek başına amacı değiştirebilmesi mümkün değildir. Zira amaç değişikliğinin mahkemece tescili zorunludur. Şekli prosedürün yanı sıra vakıflarda amaç değişikliği için objektif ve sübjektif kriterlerin sağlanması da aranmaktadır, aksi takdirde değişiklik talebi mahkemece reddedilmektedir. Bu çalışmada; amaç değişikliği için mevzuatta ve literatürde aranan şekle ve esasa ilişkin şartlar, Yargıtay’ın örnek kararları üzerinden incelenmektedir. | |
| dc.description.abstract | The purpose of foundation is the most fundamental element that determines the field of activity and the boundaries of the foundation, as stated in the established practice of the Court of Appeals. Importance of the purpose requires a certain and strict procedure for any changes to be made after the establishment of the foundation. Although this principle applies to both old and new foundations, the procedure for the change of purpose differs for each. Purpose of a new foundation can be changed in accordance with article 113 of the Turkish Civil Code while article 14 of the Code of Foundations applies for old foundations. It is not possible for the foundation management or the General Directorate of Foundations to change the purpose on its own, as the change of purpose must be registered by the court. However, Council of Foundations can change the purpose of old foundations. In addition to the formal procedures, objective and subjective criteria are also required for the change of purpose of foundations, otherwise the request for change of purpose is rejected by the court. This study analyses the formal and substantive requirements for the change of purpose through the decisions of the Court of Appeals. | |
