Anonim şirket pay sahibinin bilgi alma ve inceleme hakkı

Abstract

Günümüz ekonomik hayatını şekillendiren en önemli ticaret şirketlerinden biri olan anonim şirketlerde, modern şirketler hukuku anlayışının da etkisiyle şirket yönetiminin pay sahiplerinden ziyade uzman profesyonel kimselere bırakılması eğilimi söz konusudur. Bu durum pay sahiplerinin şirkete yabancılaşmalarına sebep olmakta ve şirket yönetimine karşı korunmalarını da gerektirmektedir. Bu koruma bakımından önemli bir fonksiyon icra eden bilgi alma ve inceleme hakkı bu çalışmanın konusunu oluşturmaktadır. Hak 6102 sayılı Türk Ticaret Kanunu'nun 437.maddesi çerçevesinde ele alınmıştır.

In joint-stock companies, whic are one of the most essential trade companies that shape today's economic life, it is frequently seen that there is a tendency to leave the company management to expert professionals rather than shareholders, with the effect of modern corporate law understanding. This situation causes the shareholders to become alienated from the company and also requires them to be protected against the company management. The subject of this study is the right to obtain information and examination, which performs a fundamental function in terms of this protection. The right has been handled with the framework of article 437 of the Turkish Commercial Code no.6102.
