Türk hukukunda acentenin tahkim sözleşmesi akdetme yetkisi

Abstract

Bağımsız tacir yardımcılarından olan acente, 6102 sayılı Türk Ticaret Kanunu (TTK) m. 105 hükmü gereği kurulmasına aracılık ettiği ya da müvekkili adına yaptığı sözleşmelerle ilgili hakkı koruyucu beyanları müvekkili adına yapmaya ve bunları kabule yetkili olduğu gibi bu sözleşmelerden doğan uyuşmazlıklarda müvekkilini mahkemede temsile de yetkilidir. Bir yargılama faaliyeti olan tahkimde acentenin müvekkilini temsil için tahkim sözleşmesi akdetme yetkisinin bulunup bulunmadığı sorusunun, acentelik faaliyeti kapsamında gerçekleştirilen işlemlerin ticari nitelik taşıması ve ticari yargılamaların tahkim yoluyla çözülmesi eğiliminin artması nedeniyle cevaplanması şarttır. Çalışmamız Türk hukuku ile sınırlandırılmış olup bu bağlamda öncelikle acentenin yetkileri genel hatları ile ele alınacak, bu yetkilerden biri olan sözleşme akdetme yetkisi dahilinde acentenin tahkim sözleşmesi akdetmeye ehil olup olmadığı, acenteye müvekkili tarafından özel bir yetki verilip verilmemesine göre incelenecek, son olarak acentenin müvekkilini tahkim yargılamasında temsili meselesi tartışılacaktır.

In accordance with Article 105 of the Turkish Commercial Code, the agent, as one of the independent merchant intermediaries, is authorised to make and accept the right-protective claims on behalf of his/her principal in relation to the contracts that he/she mediates or concludes on behalf of his/her principal, and is also authorised to represent his/her principal before the court in disputes arising from these contracts. In arbitration proceedings, which is a judicial proceeding as well, the question of whether the agent has the authority to conclude arbitration agreements to represent its principal is essential to be answered because of the fact that the works performed by the agent are mostly commercial in nature and currently a significant number of the commercial disputes are being preferred to be resolved through arbitration. This article is particularly focused on Turkish law, and in this context, the authority of the commercial agent will be examined in general terms, whether the agent is competent to conclude an arbitration agreement within the scope of the authority of the commercial agent to conclude a contract, which is one of these authorities, will be analysed according to whether the agent has been granted a special authority by the principal, and finally, the issue of the agent’s representation of the principal in the arbitration proceedings will be discussed.
