| dc.description.abstract | Nama yazılı hisse senedi kıymetli evrak niteliğinde olup, hakkın senede bağlı olması nedeniyle (nama yazılı hisse senedi) olmadan, yani senet ibraz edilmeden senede bağlı haklar kullanılamayacaktır. Payın miras yoluyla kazanılmasında, mirasçının pay sahibi olarak şirkete karşı pay defterine yazım isteyebilmesi için hem nama yazılı hisse senedini hem de veraset ilamı ve taksim belgesini birlikte ibraz etmesi gereklidir. Bu nedenle, mirasçıların şirketteki payları kazanmalarını, çıplak paylarda olduğu gibi, sadece pay defterinde pay sahibi olarak görünen murisin mirasçısı olduğunu belirten veraset ilamının ibrazına bağlayan kuralın, kıymetli evrak niteliğindeki nama yazılı hisse senetlerine bağlanmış paylarda uygulanması mümkün değildir. Mirasçılardan biri tarafından tereke için resmi defter tutulması amacıyla dava açılması halinde, mirasçıların mirası kabul edip etmeyeceği belli olmadığından, mirasçıların miras bırakanın ölümü ile mirası bir bütün olarak kanun gereğince kazanamadığı, yani TMK m. 599/1 hükmünün uygulanamayacağı kabul edilmelidir… | |
| dc.description.abstract | The registered share certificate is a commercial paper and since the right in commercial paper is tied to the promissory note, the rights attached to the promissory note cannot be exercised without the registered share certificate, in other words, without the presentation of the promissory note. In the acquisition of the share by inheritance, the heir must submit both the registered share certificate and the certificate of inheritance and partition of succession together in order to be able to request registration in the shareholders’ register against the company as a shareholder. Therefore, it is not possible to apply the rule that binds the heirs to acquire shares in the company to the submission of a certificate of inheritance stating that he is the heir of the deceased, who appears as a shareholder in the shareholders’ register, as in the case of uncertificated shares. If a lawsuit is filed by one of the heirs for the purpose of keeping an official book for the estate, since it is not clear whether the heirs will accept the inheritance, it should be accepted that the heirs cannot acquire the inheritance as a whole by law due to the death of the inheritor.
